Changes to UK company legislation are on the horizon following the passage of the Economic Crime and Corporate Transparency Act last year.
These changes, set to come into force on 4 March 2024, will significantly affect how companies operate and how they meet compliance obligations.
It is crucial for directors to be fully aware and ready to adhere to these modifications from their commencement date.
To assist, our experts have broken down the essential updates you need to anticipate:
Get ready for:
New criteria for registered office addresses: Effective from 4 March 2024, your company is required to list an ‘appropriate address’ as its registered office. This address must be one where correspondence is likely to be promptly attended to and where the receipt of documents can be officially recognised. The use of PO Box addresses will be deemed non-compliant. Companies currently utilizing a PO Box must switch to an acceptable address by the stipulated date, making the change via the company’s authentication code.
Obligation to provide a registered email address: A vital update mandates every company to furnish Companies House with a registered email address from 4 March 2024 onwards. This address will be the main channel for statutory communications and will remain confidential. For newly established companies, this is required upon incorporation, whereas existing entities must adhere to this requirement upon submitting their subsequent confirmation statement after 5 March 2024.
Declaration of lawful intent: At the point of incorporation and within your confirmation statements, there will be a necessity to declare that your company has been established for a legitimate purpose and will engage in lawful activities. This measure aims to guarantee the legality of corporate operations.
In light of these adjustments, companies are advised to validate their registered office addresses and ensure all declarations regarding the company’s lawful purpose are up to date.
You may face legal repercussions and the striking off of your business if you fail to comply with these regulations.
